HR-9429-119
Referred to the Committee on Oversight and Government Reform, and in addition to the Committees on House Administration, and the Judiciary, for a period to be subsequently determined by the Speaker, in each case for consideration of such provisions as fall within the jurisdiction of the committee concerned.
Sponsored by Maggie Goodlander (D-NH)
What it does
This bill would prohibit Members of Congress, their spouses and dependent children, top judicial officers and employees, senior executive branch officials, the President, and the Vice President (and their spouses/dependents) from owning or trading individual stocks, commodities, futures, and related derivatives. Covered individuals would have 180 days after enactment (or 90 days after taking office) to divest existing holdings, with exemptions for diversified mutual funds, Treasury and municipal bonds, small business interests, and certain other assets, and would allow use of the existing tax-deferred "certificate of divestiture" program. Violations would trigger a fine of 10% of the investment's value plus disgorgement of profits, which cannot be paid from official office accounts or campaign funds.
Who benefits
The general public and investors who may gain confidence that lawmakers and senior officials are not trading on nonpublic information; good-government and ethics-reform advocates; diversified mutual fund and index fund providers, who remain a permitted investment vehicle; and financial transparency watchdog groups.
Who is hurt
Members of Congress, senior executive and judicial officials, and their spouses and dependent children, who would lose the ability to hold or trade individual stocks and would face divestment costs, potential tax consequences absent certificate-of-divestiture relief, and compliance burdens; financial advisors serving these individuals; and spouses with independent careers in finance or industries where stock ownership is customary, who may face career or income constraints.
Supporters argue
Supporters argue that lawmakers and senior officials have access to nonpublic information affecting markets — from pending legislation to regulatory actions — creating conflicts of interest and the appearance of self-dealing that erode public trust. They cite repeated reporting on Members of Congress outperforming market indices and instances of stock trades made shortly before market-moving legislative or regulatory actions, arguing a full ownership ban (rather than mere disclosure) is the only way to eliminate both actual conflicts and the appearance of impropriety.
Opponents argue
Opponents argue that a blanket ban extending to spouses and dependents unduly burdens family members who have their own independent careers and investment decisions unrelated to a covered individual's official duties, potentially discouraging qualified people from public service or from their spouses continuing careers in finance. They contend existing disclosure requirements under the STOCK Act, combined with narrower conflict-of-interest rules, already address the core concern without imposing forced divestment, tax complications, and property-related costs on people who are not themselves government employees.
Constitutional context
Congress has broad authority under Article I to regulate its own members' conduct and to set qualifications and conduct rules for federal employees, and the bill's mandatory divestment provisions could raise Takings Clause and Due Process Clause questions regarding compelled sale of property, though the certificate-of-divestiture mechanism (used previously for similar conflict-of-interest divestments) is designed to mitigate tax-related harm. Application to spouses and dependents, who are not government employees, may also raise due process and associational concerns distinct from the government's authority over its own officials.
Checks and balances
Congress would impose new restrictions on itself, the executive branch, and the judiciary, with enforcement delegated to each branch's own ethics office rather than an independent body, limiting cross-branch accountability.
Historical precedent
The 2012 STOCK Act required disclosure of stock trades by Members of Congress and senior officials but did not ban ownership or trading outright, making this bill a more sweeping extension of that earlier disclosure-based approach.
